Position: Corporate Secretarial Manager

Requirements/Job Description:

• CGI (ICSA) qualification, Associate member of MAICSA
• At least 10 years’ working experience in corporate secretarial field, preferably with exposure in public listed companies
• Sound knowledge of the Companies Act 2016, Bursa Malaysia's Listing Requirements, Malaysian Code on Corporate Governance and other related regulations
• Proficient in both written and spoken English and Bahasa Malaysia
• Computer literate, with knowledge in Microsoft Office applications, as well as MYCOID and MBRS systems for online submissions to SSM
• Strong interpersonal skills, with the ability to work and communicate effectively with internal and external parties
• A good team player and able to work independently with minimal supervision
• Willing to travel
• Support and assist the Company Secretary in handling all aspects of company secretarial and governance matters, ensuring compliance with related statutory requirements, including the submission of information and documents to regulatory authorities, and maintenance of statutory records and registers
• Prepare resolutions, meeting minutes and other corporate secretarial documents
• Provide advice to and work closely with operating units and other departments on secretarial and governance matters
• Make announcements to Bursa Malaysia and participate in corporate exercises
• Liaise with both internal and external stakeholders, including Companies Commission of Malaysia, auditors, share registrar and other regulatory authorities
• Organize and coordinate board and members meetings, including the preparation and dissemination of Board papers, notices/ agendas, pre-meeting arrangements, and post meeting actions
• Assist in preparing draft Annual Report, Circular to shareholders and all the relevant checklists
